These Terms of Service ("Terms") are a binding agreement between you ("Customer," "you") and RiseX Software Inc. ("RiseX," "we," "us") governing your access to and use of the RiseX website and software platform (together, the "Service"). By creating an account or using the Service, you agree to these Terms. If you are entering into these Terms on behalf of a company, you represent that you have authority to bind that company.

1. Eligibility & accounts
You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly at [email protected] of any unauthorized use.
2. Description of the Service
RiseX provides software-as-a-service tools for cash flow forecasting, financial reporting, and budget management, including features that rely on machine-learning models to generate projections and insights based on data you provide or that we retrieve from services you connect.
3. Not financial, investment, tax, or legal advice
RiseX is a software tool, not a financial institution, broker-dealer, investment adviser, accounting firm, or law firm. Forecasts, budgets, and insights generated by the Service are estimates based on historical data and statistical models; they are provided for informational and planning purposes only and do not constitute financial, investment, accounting, tax, or legal advice. Actual results may differ materially from any forecast. You are solely responsible for decisions made using the Service and should consult a qualified professional before making material financial decisions.
4. Subscriptions, trials & billing
- Paid plans are billed in advance on a monthly or annual basis, as selected at signup.
- Free trials run for the period stated at signup (currently 14 days); no payment method is required to start a trial unless stated otherwise, and access converts to a paid plan only if you actively subscribe.
- Fees are non-refundable except as described in our Refund Policy or where required by law.
- You may cancel at any time from account settings; cancellation takes effect at the end of the current billing period.
- We may change subscription pricing with at least 30 days' notice before it applies to your next billing cycle.
5. Acceptable use
You agree not to: (a) reverse engineer or attempt to extract the source code of the Service except as permitted by law; (b) use the Service to violate any law or third party's rights; (c) upload data you do not have the right to share; (d) interfere with or disrupt the integrity or performance of the Service; (e) resell or white-label the Service without our written consent; or (f) use the Service to build a directly competing product.
6. Your data & integrations
You retain ownership of the data you upload or connect to RiseX ("Customer Data"). You grant RiseX a limited license to process Customer Data solely to provide and improve the Service, consistent with our Privacy Policy. You represent that you have the necessary rights and consents to connect third-party accounts (such as accounting or banking platforms) to the Service. You may disconnect integrations or export your data at any time; see the Privacy Policy for details on data retention after account closure.
7. Intellectual property
RiseX and its licensors retain all rights, title, and interest in the Service, including all software, models, designs, and trademarks. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription term, for your internal business purposes only.
8. Third-party services
The Service may integrate with third-party platforms (such as QuickBooks, Xero, or NetSuite) that are governed by their own terms and privacy policies. RiseX is not responsible for the availability, accuracy, or practices of third-party services.
9. Disclaimers & warranty
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT FORECASTS OR REPORTS GENERATED BY THE SERVICE WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR ANY PARTICULAR PURPOSE, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RISEX AND ITS OFFICERS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID RISEX IN THE 12 MONTHS PRECEDING THE CLAIM.
11. Indemnification
You agree to indemnify and hold RiseX harmless from claims, damages, and expenses (including reasonable attorneys' fees) arising from your misuse of the Service or violation of these Terms, except to the extent caused by RiseX's own breach or negligence.
12. Termination
Either party may terminate the agreement as described in the Subscriptions section or immediately if the other party materially breaches these Terms and fails to cure within 15 days of notice. Upon termination, your right to access the Service ends, though certain provisions (including Sections 7, 9, 10, and 11) survive termination.
13. Governing law & disputes
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Any dispute arising out of these Terms will be resolved in the state or federal courts located in Delaware, and both parties consent to jurisdiction there, unless applicable law provides otherwise for consumer disputes.
14. Changes to these Terms
We may update these Terms from time to time. For material changes, we will provide at least 30 days' notice via email or an in-product notice before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance.
